2021 TERMS AND CONDITIONS OF SALE

PAYMENT TERMS:
- 30 days net from date of invoice on approved credit.
- Knight Sales and Distribution reserves the right to apply a 2% per month service charge on overdue payments.
- All payments are to be made to the attention of: Knight Sales and Distribution Ltd.

PRICES:

- All pricing is net and does not include any rebates, coops, etc.
- Quotations and estimates are subject to change at any time without notice.
- KNIGHT SALES AND DISTRIBUTION retains the right to correct any errors in quotations, order confirmations, invoices, etc.
- All prices are subject to change without notice.
- All applicable taxes are not included in the product price.
- Suggested MSRP and/or list prices shown on any pricing provided for various lines are not obligatory unless a MAP policy is in place. A MAP policy will outline the Minimum Advertised Price (Online or in-store) that the products can be sold.

DELIVERY:
- Unless otherwise agreed, delivery is FOB Knight Sales and Distribution warehouse in Mississauga, Ontario.
- Freight is prepaid on all single orders (whether shipped partial or complete) with a net value of $1200 or more.
- In the case of prepaid shipments, KNIGHT SALES AND DISTRIBUTION has the right to select the carrier and method of shipment.
- Claims for shortages must be made within 10 days of receipt of shipment.

PRODUCT RETURN:
- No cancellations or returns on special order items are permitted. Cancellation of all other orders are subject to the approval of Knight Sales and Distribution in advance.
- Knight Sales and Distribution reserves the right to apply a 15% restocking charge for all products that are acceptable to be returned in fully new and resaleable condition.
- All items intended for return must be approved by Knight Sales and Distribution in advance via rep inspection. The form “Return Item Authorization” (RIA) is to be used in all cases. Before returning the product, contact your local Sales Account Manager for approval and return instructions.
- All products must be in a saleable condition and in original package. The products must be shipped prepaid by the sender and the carrier can be selected by the sender. Knight Sales and Distribution will issue credit after deducting a restocking fee of 15% as mentioned above. Please check contents carefully before returning and document everything.
- Returns due to shipment errors on the part of Knight Sales and Distribution must be reported within 30 days of shipment. The products can be returned freight collected to Knight and will be credited without restocking fees.
- Claims for shortages or damages in transit are the responsibility of the consignee and must be filed directly against the carrier.
- Credit or exchange will be at the original invoice price.

GENERAL:
- Knight Sales and Distribution will only sell their products to authorized distributors. It is understood that the selected distributor will not resell the products to other vendors at the same trade level without prior written authorization from Knight Sales and Distribution.
- The validity and interpretation of any contract with the company shall be governed by the laws of the province of Ontario.

- Warranties will vary by product line. - Please refer to the specific warranty for the line in question.
